The cpfc.ca website and all related domains and microsites, including the Foundation for Advancing Family Medicine website (collectively, the “CFPC Websites”) are maintained, operated and owned by the College of Family Physicians of Canada (“CFPC”).
 
It is important that you (defined below) read all the following terms and conditions of use (the “Terms”) carefully. The Terms, together with any documents and/or additional terms they expressly incorporate by reference, constitute a legal agreement between you and the CFPC and govern your access to and use of the CFPC Websites, our products and services (including Mainpro+®, CERT+, CFPCLearn and CFPC Self Learning), and any third-party platforms available through the CFPC Websites, including, for example, the member portal (collectively, the “Websites”).
 
The Terms state the terms and conditions under which a user (“you”) may access and use the Websites and all materials displayed or made available through the Websites, including, without limitation, articles, certificates, reports, newsletters, publications, presentations, educational programs, text, templates, manuals, booklets, guidelines, research findings, meeting materials, views, graphics, images, illustrations, audio and video recordings, videos, computer software and code (collectively, the “Content”).
 
BY ACCESSING AND USING THE WEBSITES, YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT ACCEPT AND AGREE TO BE LEGALLY BOUND BY AND COMPLY WITH THE TERMS, YOU ARE NOT PERMITTED TO ACCESS OR OTHERWISE USE THE WEBSITES OR THE CONTENT.   
 
Privacy and Use of the Websites
You are encouraged to read our Privacy Policy, available at https://www.cfpc.ca/en/privacy-policy, so that you may understand how your personal information will be treated when you access and use the Websites. By submitting information through the Websites, you consent to the CFPC’s use of your personal information as described in its Privacy Policy.
 
You may not access parts of the Websites to which you are not authorized. Certain sections or features of the Websites, including the CFPC’s member portal, Mainpro+, CERT+ and the CFPCLearn and CFPC Self Learning programs, may require additional steps for access. These may include logging into a password-protected portal, validating email addresses, and adhering to specific usage guidelines.

Your user ID and password are for your personal use only. You are responsible for maintaining the confidentiality of your user ID and password and are responsible for all activities that occur under that user ID or password. You agree to ensure that you exit from your account at the end of each session.
You agree that, by accessing areas of the Websites using your user ID and password, the CFPC may use your user ID and password as the means to authenticate your identity for the purposes of using restricted areas on the Websites.
 
If you have reason to believe that your user ID or password has been used without your authorization, you agree to notify the CFPC immediately. The CFPC will not be liable for any loss or damage arising from your failure to protect your user ID or password.

When making changes to your information through the Websites, you agree that you will only provide information that is true, accurate, current and complete. If the CFPC has grounds to suspect that such information is untrue, inaccurate, not current or incomplete, the CFPC has the right to refuse to process any transaction or end your access to the Websites. The CFPC will not be responsible to you in any manner if any amendment made to your account information is not true, accurate, current and complete.

Targeted Advertising
The Websites may use cookies to identify return visitors, and by accessing the Websites, you consent to the CFPC’s use of cookies. A cookie is a piece of data that a website can send to the browsers of visitors’ computers and that may then be stored on the hard drives of their computers. When visitors return to the Websites, information can be tailored more readily to suit individual visitors’ preferences. The goal is to improve efficiency and effectiveness and to measure the Websites’ activity.
 
In some cases, the CFPC (or service providers contracted on its behalf) may use cookies or similar technologies for targeted advertising.  For example, a cookie may be placed on your hard drive when you visit the Websites.  When you later visit a third-party website, it will recognize the cookie and serve you with a CFPC advertisement. The CFPC may also use targeted advertising services provided by social media sites. This typically involves sharing a hashed (or scrambled) version of your email address or telephone number with the social media site.  If you have an account with the social media site, the site will identify you as part of a group of individuals to whom CFPC advertisements should be served on its site.   
 
You can set your browser to notify you before you receive a cookie, giving you the chance to decide whether to accept it. You can also set your browser to turn off cookies. If you do, however, certain areas of the Websites may not function adequately. You may also be able to opt-out of a social media site’s targeted advertising program by adjusting your privacy or account settings.
 
Intellectual Property Rights and Ownership
The Websites and their entire features, functionality, information and Content, including the educational materials, design, presentation, layout, selection and arrangement of the Content on the Websites, belongs to the CFPC, its licensors, or other providers of such material and is protected in all forms by intellectual property laws including, without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.  
 
The College of Family Physicians of Canada, Le Collège des médecins de famille du Canada, CFPC, CMFC, Certification in the College of Family Physicians of Canada, CCFP, Fellowship in The College of Family Physicians of Canada, FCFP, CERT+ and Mainpro+, , are trademarks of the CFPC.  Other names, words, titles, phrases, logos, designs, graphics, icons and trademarks displayed on the Websites may constitute registered or unregistered trademarks of the CFPC or third parties.   
 
Subject to the CERT+ Terms, further below, you may only use the Websites for your personal, non-commercial use. You shall not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content, in any form or medium whatsoever except:
  1. your computer and browser may temporarily store or cache copies of materials being accessed and viewed; and,
  2. a reasonable number of copies for personal use only may be printed, keeping any proprietary notices thereon, which may only be used for non-commercial and lawful personal use and not for further reproduction, publication, or distribution of any kind on any medium whatsoever.
You are not permitted to modify copies of any materials from the Websites nor delete or alter any copyright, trademark, or other proprietary rights notices from copies of the Content. You must not access or use for any commercial purposes any part of the Websites or any services or materials available through the Websites.
 
If you print, copy, or download any part of the Websites in breach of these Terms, your right to use the Websites will cease immediately and you must, at the CFPC’s option, return or destroy any copies of the materials you have made. Subject to the CERT+ Terms, you have no right, title, or interest in or to the Websites or to any Content on the Websites, and all rights not expressly granted are reserved by the CFPC. Any use of the Websites not expressly permitted by these Terms is a breach of these Terms  and may infringe or violate copyright, trademark, and other intellectual property or other proprietary laws.
 
Submissions and Feedback    
The CFPC or any appropriate third party reserves the right to review any user-generated content (“Submissions”), excluding CPD Content, that are made on the Websites, but is not obligated to do so. The CFPC may, in its sole discretion, reject, refuse to post, remove or block access to any Submissions that are available via or on the Websites at any time, without notice or liability. By submitting a Submission on the Websites, you agree to grant the CFPC a worldwide, royalty-free, irrevocable, transferable, and sub-licensable licence to use, copy, display, distribute, modify, publish, and process the Submission, in whole or in part, for the purpose of providing services under the Websites. This licence also extends to CFPC's partners, affiliates, and third-party service providers, as necessary, to facilitate and support any other related services and features provided through the Websites.

You represent and warrant that you have all necessary rights, titles, and permissions to grant this licence and that the Submission does not infringe the intellectual property or other rights of any third party. You are solely responsible for the content of any Submissions you make to the Websites, including the accuracy of such information. The CFPC, its affiliates and third parties are not liable for any Submissions on the Websites.

You shall not upload to, or distribute or otherwise publish to the Websites any libelous, defamatory, obscene, pornographic, abusive or otherwise illegal material. You further agree that you will not threaten or verbally abuse other users or administrators of the Websites, use defamatory language, or deliberately disrupt discussions with repetitive messages, meaningless messages, or “spam”. You agree not to use language that abuses or discriminates on the basis of race, religion, nationality, gender, sexual preference, age, religion, disability, etc. Collectively, these guidelines represent the CFPC’s “community standards” with respect to Submissions and Feedback.

Hate speech of any kind is grounds for immediate and permanent suspension of access to all or part of the Websites and will be removed.

The CFPC may, at its discretion, refuse to accept or remove any Submission that does not comply with its policies, community standards, or that the CFPC deems inappropriate or in violation of applicable laws or regulations.  
 
From time to time, you may choose to ask, make or provide questions, suggestions, ideas, comments, recommendations, feedback, requests or other information relating to the Websites or the Content (“Feedback”). The CFPC is not responsible for the content of any Feedback submitted on the Websites.

Before submitting Feedback, the CFPC may require that you to go through specific steps of authentication and verification. By providing Feedback to the CFPC, you agree that the Feedback is not confidential and you assign all rights, title and interest in and to the Feedback to the CFPC, including all intellectual property rights. You shall adhere to the following guidelines while providing the Feedback:
  • You agree to adhere to CFPC’s community standards when submitting Feedback.
  • Feedback should be focused on the content, structure, delivery, and overall value of the specific service or program accessed by the user, and personal or irrelevant opinions shall be avoided.
  • Feedback should not include content that may violate the rights of others.
 The CFPC shall be entitled to the unrestricted use and dissemination of any Feedback for any purpose (commercial or otherwise) without acknowledging or compensating you. The CFPC reserves the right, in its sole discretion, to remove or moderate any Feedback that it deems to be in violation of the above guidelines or that does not comply with the CFPC’s community standards.

The CFPC does not endorse or guarantee the accuracy of any Feedback on the Websites.
 
Certification
The CFPC makes no representations or warranties regarding the validity, sufficiency, or applicability of any continuing professional development credits, maintenance of certification credits, or other educational credits earned through the Websites. The CFPC is not responsible for issuing notifications of credits or certifications, nor for ensuring that credits meet the requirements for any licence renewal or professional recognition. The CFPC does not guarantee the accuracy, completeness, or adequacy of Content for earning any credits on the Websites, nor does it ensure the accuracy or completeness of personal transcripts.

Disclosure
The CFPC works with a variety of third parties to provide the services available on the Websites and to provide links to other websites. These third parties include, for example, educational institutions, accrediting bodies, Content providers, technology providers, and suppliers of medical products, information, and services. These entities may supply information that is posted on or accessible through the Websites, and may set standards applicable to the particular information, but they do not control the operation of the Websites.

The CFPC does not necessarily endorse the resources that may appear or otherwise be referenced on the Websites, and makes no representation or warranties about the Content on the Websites.

Purchases
Any payment of fee or any purchase or licence of goods and services from the Websites are subject to the Terms and the following provisions:
  • All prices are in Canadian dollars and may be subject to tax, handling charges and shipping charges. 
  • The CFPC reserves the right to make any necessary updates, changes and adjustments at any time without prior notice to product descriptions, warranties and prices due to errors, product discontinuation, changing costs, new market conditions or any other business factor.
Confidentiality
You agree to maintain the confidentiality of any proprietary or confidential information you access through the Websites. This includes Content, Submissions, Feedback, content relating to the CPD, data, reports, or other materials that are labelled as confidential or otherwise protected by intellectual property laws or confidentiality agreements.
 
Absent the use of encryption, the internet is not a secured medium and privacy cannot be ensured. E-mail is vulnerable to interception and forging. The CFPC will not be responsible for any damages you or any third party may suffer as a result of the transmission of confidential information that you make through the e-mail or other links provided on the Websites. Should you decide to transmit information including the Content, Submissions or Feedback using the Websites, you do so at your own risk.
 
Links
In order to provide the services or for your convenience and information, the Websites may provide links to third-party websites. You acknowledge that when you click on a link to a third-party website, you will be leaving the Websites and assume the risks inherent in doing so, including risks of personally identifiable information being collected without your consent and damage caused by computer viruses, Trojan horses or other destructive/disruptive code which may be downloaded from such linked websites. The CFPC has not verified the nature or accuracy of the information contained on such third-party websites and assumes no liability for any damages you may suffer from visiting such third-party websites. You should direct any concerns regarding external links to third-party sites directly. 
 
Unless specifically stated, the inclusion of a link to other sites does not imply endorsement of those sites by the CFPC, or of any product or service that is available through those sites or links. Similarly, the display of third-party trademarks does not imply any relationship or license between the CFPC and the owner of the trademark nor imply that the CFPC endorses the products, services, procedures, business or other information of the owner of that trademark.
 
No Reliance or Medical Advice
The Websites do NOT provide medical advice. The Content on the Websites is provided for general information purposes only, on a wide range of health and medical education topics. Ideas and approaches contained within such learning materials do not represent the standard of care for Canadian healthcare professionals. Standards of medical care are specific to the facts and circumstances of an individual case and may be subject to change as scientific knowledge and technology advance and as practice patterns evolve.  It is not intended to amount to advice on which you should rely. You must obtain more specific or professional advice before taking, or refraining from, any action or inaction on the basis of Content on the Websites. You assume full responsibility for appropriate use of the information available through this Websites.

Although the CFPC makes reasonable efforts to update the information on the Websites, it makes no representations, warranties or guarantees, whether express or implied, that the Content is accurate, complete or up-to-date. Your use of the Websites is at your own risk and neither the CFPC nor its affiliates and their respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers or successors have any responsibility or liability whatsoever for your use of the Websites or the Content provided thereon.
 
Disclaimer of Warranties
YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE WEBSITES, THEIR CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE WEBSITES IS AT YOUR OWN RISK. THE WEBSITES, THEIR CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE WEBSITES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Indemnification
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD THE CFPC, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS, HARMLESS FROM ANY AND ALL CLAIMS OR LOSSES ARISING FROM YOUR USE OF OR RELIANCE ON THE WEBSITES OR ANY CONTENT OR SERVICES OR INFORMATION MADE AVAILABLE ON OR THROUGH THE WEBSITES.

Governing Law and Jurisdiction
The Websites are administered by the CFPC from its offices in Mississauga, Ontario, Canada. The Websites can be accessed from all provinces and territories of Canada, as well as from other countries around the world. As each of these jurisdictions has laws that may differ from those of the Province of Ontario, you agree that all matters relating to your access to, or use of, the Websites or the Content shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of laws principles. You agree and hereby submit to the non-exclusive jurisdiction of the courts of the Province of Ontario with respect to all matters relating to your access and use of the Websites.
 
Termination
The CFPC may, in its sole discretion, cancel or terminate your right to use the Websites, or any part of the Websites, at any time without notice. In the event of termination, you are no longer authorized to access the Websites or the part of the Websites affected by such cancellation or termination. The CFPC shall not be liable to any party for such cancellation or termination.
 
Communication
Except as otherwise provided or as required by applicable law, by using the Websites, you agree to receive communications from the CFPC regarding the Websites, as well as the services, products, and Content offered through the Websites. You may opt out of receiving certain types of communications, where applicable, by following the instructions provided in such communications or by adjusting your communication preferences through your account settings.
 
Waiver
Except as otherwise set forth in these Terms, no failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these Terms operates, or may be construed, as a waiver thereof; and no single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power or privilege.
 
Official Languages Policy
The CFPC strives to provide all information contained on the Websites in both of Canada's official languages. In some instances, however, various publications and documents are only available in English or in French. 

General
These Terms represent the entire understanding relating to the use of the Websites. If any provision of these Terms is held to be invalid or unenforceable to any extent, then the remainder of the Terms will have full force and effect.
 
Certain products and services available through the Websites may require you to agree to further terms and conditions. If there is any inconsistency between those terms and conditions and these Terms, then the other terms and conditions shall prevail, unless the other terms and conditions expressly state otherwise.
 
The CFPC may revise the Terms at any time without prior notice, and changes are effective immediately upon their posting. It is your responsibility to review the Terms on a regular basis. Your continued use of the Websites, including the use of the Websites after changes are posted will signify your acceptance of the revised terms. 
 
The English version of these Terms is the official version, in the event of any discrepancy between the English and French versions.

CERT+ Additional Terms
The following additional terms and conditions shall apply in relation to the CERT+ platform of the CFPC (“CERT+ Terms”).
 
Applicability
Anyone using the CERT+ platform including individuals or organizations submitting their continuing professional development (“CPD”) courses for approval through the CERT+ platform (“CPD Providers”), users and organizations involved in the review and approval process on the CERT+ platform (“Reviewers”) and CFPC’s members that are part of any committee, including the Scientific Planning Committee (“Committee Members”) shall adhere to the applicable CERT+ Terms.
 
Access and Use
For CPD Providers: By using the CERT+ platform, you acknowledge that you are a CPD Provider authorized to submit content (“CPD Content”) for assessment and evaluation to the CFPC. You may use the CERT+ platform for limited commercial purposes and agree to comply with all applicable terms set forth in these CERT+ Terms and the Terms (to the extent applicable) and any specific terms and conditions related to the CERT+ platform.
 
For Reviewers: By using the CERT+ platform, you acknowledge that you are authorized to do so and that you shall only access and use the CERT+ platform for the purpose of reviewing and approving CPD Content.
 
For Committee Members: By using the CERT+ platform, you acknowledge that you are authorized to do so and that you shall only access and use the CERT+ platform for the purpose of viewing and confirming the required aspect of the CERT+ Applications.
 
Submission of CERT+ Applications
As a CPD Provider, you are responsible for submitting all required application materials including the applicable CPD Content (collectively, the “CERT+ Application”) electronically via the CERT+ platform, and you must ensure that all of the CERT+ Application information submitted is accurate, complete, and complies with any CFPC's submission guidelines.
 
Fee
Any payment of fees in relation to the CERT+ platform, including the Fee for CERT+ Applications, shall be subject to the Purchase-related terms specified in the Terms.
 
Intellectual Property
The ownership of the CPD Content shall remain with the CPD Providers. By submitting CPD Content, you as a CPD Provider agree to grant the CFPC a worldwide, royalty-free, irrevocable, transferable, and sub-licensable licence to use, copy, display, distribute, modify, publish, and process the CPD Content, in whole or in part, for the purpose of providing services under the Websites and associated activities, including relating to CPD programs. This licence also extends to CFPC's partners, Reviewers, Committee Members, affiliates, and third-party service providers, as necessary, to facilitate and support any other related services and features provided through the Websites.
 
As a CPD Provider, you represent and warrant that you have all necessary rights, titles, and permissions to grant this licence and that the CPD Content does not infringe the intellectual property or other rights of any third party, and you are solely responsible for the content of any CPD Content, including the accuracy of such information. The CFPC, its affiliates and third parties are not liable for CPD Content.
 
Reviewers and Committee Members’ Confidentiality Obligations
As a Reviewer or a Committee Member, you agree to maintain the confidentiality of all information and materials related to the CPD Content that you access or are exposed to on the CERT+ platform, including during the confirmation, approval or review process. This includes, but is not limited to, the CPD Content submitted by CPD Providers, any proprietary information, and any other sensitive data available on the CERT+ platform ("CERT+ Confidential Information").
 
Reviewers and Committee Members shall not disclose, share, or use any CERT+ Confidential Information for any purpose other than for performing their duties as a Reviewer and Committee Members respectively in accordance with any CFPC guidelines, Terms and Cert+ Terms. This obligation of confidentiality applies both during the term of your access to the CPD Content and at all times thereafter, unless required by law to disclose such information.
 
You acknowledge that any unauthorized disclosure or use of CERT+ Confidential Information may result in harm to the CPD Providers and the CFPC, and agree to take all reasonable steps to safeguard such CERT+ Confidential Information.
 
As a Reviewer or a Committee Member, you agree to indemnify, defend, and hold the CFPC, its affiliates, or their respective directors, officers, employees, and agents harmless from any and all claims, losses, damages, liabilities, or expenses (including legal fees) arising from any breach of confidentiality or unauthorized disclosure of CERT+ Confidential Information by you. This includes any claims or losses resulting from your failure to comply with the confidentiality obligations outlined in these Terms and CERT+ Terms.
